PGS  ENERGY TRAINING
End-User Licensing Agreement

This end-user licensing agreement ("agreement") is a legal contract between you (either an individual or a single business entity) and PGS Energy Training for the Seminars-on-Demand^SM software product, which includes computer software ("Software Program") and, as applicable, associated media, printed materials, and "online" or electronic documentation ("Software Application Materials").  By installing, copying, or otherwise using the Software Program, you agree to be bound by the terms and conditions of this agreement, including the warranty disclaimer and limitations of liability provisions contained below.  If you do not agree with these terms and conditions, do not install this Software Program and return it and all software application materials within 10 days of sale or rental for a full refund.

USE
Following acceptance of this Agreement, you (an entity or a person) may use this Software Program on a stand alone computer or laptop and the Software Application Materials in the quantity purchased or licensed. Unless you have purchased an enterprise license, you may not install the Seminars-on-Demand^SM software on a network. The "Licensing Period" begins at the time of initial CD authorization. You can extend the length of your license at any time. Once your license has expired, there is no need to return the CD and the printed seminar materials are yours to keep. 

RESTRICTIONS
You agree to not alter, merge, modify or adapt the Software Program in any way, or to assist or facilitate such efforts, including reverse engineering, disassembling or recompiling. You may not sell, distribute, loan, rent, lease, license or otherwise transfer the Software Program, any copy of the Software Program or the Software Application Materials. 

INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in the Software Program and other Software Application Materials are owned by PGS Energy Training or its suppliers and are protected by applicable intellectual property laws  (including patent, trademark and copyright laws) and international treaty provisions. PGS Energy Training retains all rights not expressly granted.

WARRANTY
This Software Program and the Software Application Materials are provided "as is."  Except as specifically provided herein, PGS Energy Training makes no warranty, representation, promise or guarantee, either express or implied, statutory or otherwise, with respect to the Software Program, associated materials or related support, including their quality, performance, merchantability or fitness for a specific purpose.

LIMITATION OF LIABILITY
This Software Program and the Software Application Materials are for educational purposes only.  The buying and selling of natural gas, crude oil, energy products, electric power and financial instruments are inherently complex and risky businesses whose nomenclature, techniques and practices change over time.  Due to these factors it is your responsibility to verify the accuracy and applicability of the information and techniques presented in this Software Program before executing transactions or entering into any business arrangement.  In no event will PGS Energy Training or any of its developers, agents, officers, dealers, or distributors be liable for indirect, special, incidental, tort, economic, cover or consequential damages arising out of the use or inability to use any of PGS Energy Training's Software Programs or services, including, without limitation, damages or costs relating to the loss of profits, business, Goodwill, computer network problems or trading losses.  In no case shall the liability of PGS Energy Training or any of the above associated entities exceed the amount paid by you for the Software Program and other Software Application Materials out of which such claim arose.

GENERAL
No PGS Energy Training dealer, distributor, agent or employee is authorized to make any modification or addition to this Agreement without prior written approval by the President of PGS Energy Training.
